End User License Agreement

This End User License Agreement ("EULA") applies to you personally — the individual signing in to Formspace. It sits alongside our Terms and Conditions, which are the agreement between Formspace and the business whose workspace you work in.

Both documents matter, and they do different jobs. The Terms cover the commercial relationship with your organisation. This one covers what you personally may and may not do, and who owns what you make. Where the two ever appear to disagree, the Terms and any signed order form govern.

1. Who this applies to

It applies to you if you sign in to Formspace — whether your employer invited you, a workspace administrator added you, or you registered yourself.

Throughout this page, "you" means you as an individual. "Customer" means the business that holds the workspace you are working in. If you registered on your own and nobody else holds your workspace, you are both — see Section 6.

You must be at least 18 and using Formspace for business purposes. If you are accepting on behalf of an organisation, you confirm you are authorised to do so.

2. What you may do

Your right to use Formspace comes from your organisation’s agreement with us and lasts only while that organisation authorises you and its account is active. Within that, and within whatever your workspace role allows, you may:

  • Sign in with your own credentials.
  • Upload product images, photographs, catalog data, and other material your organisation has authorised you to submit.
  • Generate, re-render, and compose imagery in your organisation’s workspace.
  • Download individual images and export completed editorial compositions for your organisation’s business and commercial use.
  • Create and organise catalog records, products, room scenes, and workspace settings, to the extent your role permits.
  • Collaborate with other members of the same workspace, and comment on gallery items.

This is a right to use Formspace as a service. You get no right to keep, install, or reuse a copy of our software.

Renders draw on your organisation’s credits. One credit is one render — one image the Service generates. Generating a scene uses one, and each product you place into a scene is rendered separately and uses one more, so a scene rendered with two products uses two credits. The cost is shown before you start a render. The allowance belongs to the organisation and is shared with everyone in the workspace, so what you spend is not available to a colleague; you have no personal entitlement to any share of it.

3. What you may not do

You may not:

  • Break the law, or infringe anyone’s intellectual property, privacy, publicity, or confidentiality rights.
  • Upload material you or your organisation do not have the rights to use — including another employer’s material, or licensed stock used outside its licence.
  • Upload someone’s personal information without a lawful basis, or submit Social Security numbers, payment card data, health information, or children’s data. Formspace is not built to hold those.
  • Create unlawful, defamatory, harassing, hateful, or sexually exploitative material, or depict identifiable real people without authorisation.
  • Use generated imagery deceptively — including passing it off as an authentic photograph where that would mislead buyers, or publishing it without the review described in Section 4.
  • Try to extract, copy, or reverse-engineer the AI models, prompts, or systems behind the product, including by prompt injection or harvesting outputs to train another model.
  • Reverse-engineer, decompile, or disassemble the Service, except where the law says that restriction cannot apply.
  • Probe or test the security of the Service, or circumvent its authentication, without our prior written consent.
  • Scrape the Service, create accounts in bulk, or run automated agents on your credentials.
  • Interfere with the Service, or work around usage allowances — including by making extra accounts or spreading work across workspaces to get more render capacity.
  • Resell or sublicense access, or use the Service on a service-bureau basis, unless an order form says you may.
  • Build a competing product from what you learn here.
  • Remove or obscure proprietary notices in the outputs.
  • Upload malicious code — including anything hidden in an image file, in image metadata, in catalog import data, or in prompt text.

Beyond your own permissions. You may not reach content or functions outside your assigned role, use anyone else’s session or credentials, or grant yourself a role above the one you were given.

Taking work with you. You may not copy, download, screenshot, email, or sync content or imagery out of Formspace for personal use, or to a personal device or account. You may not use it in a personal portfolio, showreel, case study, or client pitch unless your organisation has authorised that in writing.

After you leave. If a link, session, or file URL still works after your access ends, you may not use it. That it happens to function is not permission.

Our not noticing something is not permission either, and does not waive anything.

4. AI imagery, and the review you owe

Formspace produces imagery with AI models. Output is probabilistic: it can misstate a product’s colour, scale, materials, finish, or placement, and it is not a photograph of a real object.

Review before you publish or rely on it. Check imagery against the real product before it goes to a customer, a catalog, or a campaign. Nobody at Formspace does this for you, and we do not pre-screen what is generated.

Similar or identical imagery may be generated for other customers. Nothing here grants exclusivity in a style, scene, or composition. Room renders are illustrative and are not engineering, architectural, or design-safety advice.

Your uploads are sent to third-party AI providers for processing, and your use has to comply with their prohibited-use policies too. We may change providers or model versions, and output may change with them. Formspace does not use your content to train its own models.

5. Who owns what

Four separate questions, four answers.

  • Formspace owns Formspace. The software, interfaces, designs, our models and prompt templates, and the scenes, templates, and paint colours we supply. Using the product grants you no rights in any of it, and none survive the end of your access. The third-party AI models belong to their providers.
  • Your organisation owns what it puts in. Product images, photographs, catalog data, and everything else uploaded to its workspace. We do not take ownership of it. Our rights are limited to hosting, processing, and transmitting it to run the Service.
  • Your organisation owns the imagery generated in its workspace. We assign whatever rights we may have in generated imagery to the Customer, subject to fees being paid and the Terms being met. How much copyright protection AI-generated material attracts is unsettled law, and we make no promises about it.
  • Feedback you send us, we may use. Suggestions, feature requests, and bug reports can be used without restriction or payment. So do not put confidential material in them — if you do, it stays confidential content rather than becoming feedback.

Between you and your employer, the work belongs to your employer. What you upload and what you generate in an organisation’s workspace belongs to that organisation, not to you personally. To the extent any right would otherwise sit with you, you assign it to them as it is created. This is a default, not an override: if you and your organisation have a written agreement that allocates things differently — whether it gives them more or less — that agreement wins.

If you bring in material you personally own from before or outside your engagement, you keep ownership of it, but your organisation gets a licence to keep using the work it is part of. If you do not want to grant that, do not upload it.

Formspace is not the referee for disputes between you and your employer about credit, access, or ownership.

6. If you registered on your own

Registering creates a workspace with you as its owner. If nobody else holds that workspace, then you are both the individual and the Customer, and the split described in Section 5 collapses: what you upload and generate is yours, in that other capacity.

Two things still hold. The restrictions in Section 3 apply to you exactly as written — you cannot authorise yourself past them. And if you are in fact using Formspace for an employer or client, they may have rights in the work regardless of whose name the account is in.

7. Your account, and what others can see

Keep your credentials to yourself, use one account, and tell us if you think it has been compromised. So you know what to expect, plainly:

  • Content and imagery in a workspace is visible to the other members of that workspace, and comments cannot be edited or deleted once posted.
  • Any member of a workspace can see the names and email addresses of the other members.
  • Formspace staff can access a workspace to operate and support the Service.
  • We do not offer multi-factor authentication today, and changing your password does not end sessions already signed in elsewhere.

These are descriptions of how the product works now, not promises about how secure it is.

8. Deleting things

You can delete your own account from your settings, confirming with your password. Before you do, understand what it takes with it: deleting your account also removes imagery and comments you created in workspaces you belong to, including ones you have left, and a workspace where you are the only member is removed with you. If you only mean to leave an organisation, ask an administrator to remove you instead.

Members with catalog rights can delete catalog products and room scenes. There is no self-serve way to remove an individual generated image, an uploaded room photograph, or a comment; ask us at hello@formspace.us. Account deletion removes records rather than every stored file, and file links may keep working afterwards.

9. When this ends

Your access lasts while your organisation authorises you and its account is active. Your organisation can remove you at any time. We may suspend or end your access if you breach this EULA, for as long as is reasonably necessary.

When it ends, stop using the Service. You keep no rights in your organisation’s content or imagery, and the restrictions on taking work with you, on confidentiality, and on ownership carry on afterwards.

10. Disclaimers and liability

The Service and its output are provided as is, without warranties of any kind, including that output will be accurate, suitable, or available. The commercial allocation of risk lives in the Terms and Conditions between Formspace and your organisation, and this EULA does not add to what Formspace owes you.

11. Changes, law, and contact

We may update this EULA. We will change the date at the top, and material changes take effect on the stated effective date. This EULA is governed by the laws of the State of Georgia, and the dispute-resolution provisions of the Terms govern disputes.

Questions about this agreement go to hello@formspace.us. Questions about what you are permitted to do inside a particular workspace go to that organisation’s workspace administrator, who sets those permissions.
